DEFINITIONS

“Service Provider”, “Indian Palm Leaf Reading ® Institute”, “us”, “our” and “we” are references to the owner of this Website, Indian Palm Leaf Reading ® Institute Inc., whose registered office is 11200 W Camelback Rd., Unit 196, Phoenix, AZ 85037.

“Client”, “Customer,” “you”, “your” and “yourself” are references to the user or viewer of this Website and purchaser of the Services from us.

“Services” means the items listed on the Services section below.

“Contract” means the contract between Service Provider and Client for the sale and purchase of the Services on www.indianpalmleafreading.com which incorporates this User Agreement.

“User Agreement”, “Agreement” and “Terms” means these Terms of Service.

“Website” and “Site” means the www.indianpalmleafreading.com website and all related content and mobile applications.

“Materials” means the information, resources, methods, services, products, modules, and tools we provide for you, either directly or indirectly through this Site.

1. GENERAL

This User Agreement may change at our discretion at any time and without prior notice. All orders and purchases of the Services and Materials that are made through this Website are governed by this User Agreement. The purchase of Services and Materials through the Website are strictly limited to parties who can lawfully enter into and form contracts on the Website in accordance with the laws of the jurisdiction of their residence. This User Agreement applies to the purchase of Services and Materials from www.indianpalmleafreading.com only.

Indian Palm Leaf Reading ® Institute Services and Materials are for sale strictly to individuals 18 years of age and older. Misrepresentation of a Client’s age is not the responsibility of the Service Provider.

2. Use of the Properties

By visiting this Website and accessing the Materials, you agree to use these Materials only for the purposes intended as permitted by (a) the terms of this User Agreement, and (b) applicable laws, regulations and generally accepted online practices or guidelines.

You hereby agree that:

  • Any warranty, express or implied, shall be voided by improper use.
  • In order to access our Materials, you may be required to provide certain information about yourself (such as identification, contact details, etc.) as part of the registration process, or as part of your ability to use the Materials. You agree that any information you provide will always be accurate, correct, and up to date.
  • You are responsible for maintaining the confidentiality of any login information associated with any account you use to access our Materials. Accordingly, you are responsible for all activities that occur under your account/s.
  • Accessing (or attempting to access) any of our Materials by any means other than through the means we provide, is strictly prohibited. You specifically agree not to access (or attempt to access) any of our Materials through any automated, unethical or unconventional means.
  • Engaging in any activity that disrupts or interferes with our Materials, including the servers and/or networks to which our Materials are located or connected, is strictly prohibited.
  • Attempting to copy, duplicate, reproduce, sell, trade, or resell our Materials is strictly prohibited.
  • You are solely responsible for any consequences, losses, or damages that we may directly or indirectly incur or suffer due to any unauthorized activities conducted by you, as explained above, and may incur criminal or civil liability.
  • We may provide various open communication tools on this Website, such as blog comments, blog posts, public chat, forums, message boards, newsgroups, product ratings and reviews, various social media services, etc. You understand that generally we do not pre-screen or monitor the content posted by users of these various communication tools, which means that if you choose to use these tools to submit any type of content to our Website, then it is your personal responsibility to use these tools in a responsible and ethical manner. By posting information or otherwise using any open communication tools as mentioned, you agree that you will not upload, post, share, or otherwise distribute any content that:
    • is illegal, threatening, defamatory, abusive, harassing, degrading, intimidating, fraudulent, deceptive, invasive, racist, or contains any type of suggestive, inappropriate, or explicit language;
    • infringes on any trademark, patent, trade secret, copyright, or other proprietary right of any party;
    • contains any type of unauthorized or unsolicited advertising;
    • impersonates any person or entity, including any Indian Palm Leaf Reading ® Institute employees or representatives.
  • We have the right at our sole discretion to remove any content that we feel in our judgment does not comply with this User Agreement, along with any content that we feel is otherwise offensive, harmful, objectionable, inaccurate, or violates any third party copyrights or trademarks. We are not responsible for any delay or failure in removing such content. If you post content that we choose to remove, you hereby consent to such removal, and consent to waive any claim against us.
  • We do not assume any liability for any content posted by you or any other third-party users of our Website. However, any content posted by you using any open communication tools on our Website, provided that it doesn’t violate or infringe on any third-party intellectual property rights, becomes the property of Indian Palm Leaf Reading ® Institute, and the use of this property is subject to the terms defined in Section 15 (Intellectual Property). Notwithstanding the foregoing, our use, storage, protection, and maintenance of information provided as part of our registration process or content is governed by our Privacy Policy.

3. SERVICES

3.1 Description.

For each package of Services and related Materials that Indian Palm Leaf Reading ® Institute makes available to its Customers, Indian Palm Leaf Reading ® Institute has prepared and published a specification (each a “Service Description”). The Service Descriptions are provided below:

Our service is comprised of several stages:

Waiting List: Through your payment of $100, you have secured your spot on the waiting list.

Next-in-Line List: By submitting your readable thumb impressions, you have been moved up to our next-in-line list. This is a holding area for everyone who has paid the $100 for the search for bundles and submitted readable impressions. At this point, you do not need to take any further action apart from practicing patience. Based on current estimates, you may remain on this list for anywhere from 4 to 24 months. This is just an estimation—it may be faster, but it may also take longer.

Active List: As capacity frees up, we will notify you and move you from the next-in-line list to our active list. This means that we will begin the search for your bundles. The search for bundles is a physical process in which the reader must visit libraries and archives to locate bundles that match your thumb impression category. There are no computers or registries involved—this is hands-on work requiring visits to multiple libraries, sometimes dozens. The current estimated search time is between 3 to 5 months, though it may be faster or take longer depending on circumstances beyond our control.

Matching and Reading: Once bundles have been located for you, we will notify you. At this stage, the $100 payment you originally made becomes non-refundable. You will then have the option to proceed by paying the remaining balance of $400 for your matching and reading, after which you can schedule your appointment. You have 2 months to complete the payment and schedule your reading. If you do not pay within this timeframe, the bundles must be returned to the archive. If you later decide to retrieve the bundles, you will need to pay $100 again for their retrieval—if they can be retrieved at all. If they are no longer retrievable, you will need to restart the entire process, including payment for the search and submission of new impressions.

Reading Session: Upon receipt of your final payment, we will schedule a time and date for your reading. Readings are conducted via video and audio sessions and may last up to four (4) hours using Zoom or another platform of our choosing. The session will include the reader, an interpreter, and one of our moderators. If you do not attend the scheduled reading, we may cancel your session, in which case administrative fees may be deducted from any refund you receive, at our sole and exclusive discretion. A stable internet connection is required for the reading. We strongly recommend using a reliable high-speed broadband connection rather than a cellular or wireless network. If the session is interrupted due to an unreliable connection, as determined at our sole discretion, the reading may be suspended or terminated without a refund.

Approximately two (2) weeks after the reading, you will receive a link to a recording of your session. This link will remain active for thirty (30) days from the date it is sent. If the reader is unable to locate your specific palm leaf within the bundles found for you during the matching process, you may choose to continue the search or apply for a refund of the $400 reading fee.

Rescheduling and Cancellation of Appointments: We require at least forty-eight (48) hours’ notice to reschedule or cancel any appointments. Failure to provide sufficient notice may result in the cancellation of your order without a refund, or a rescheduling fee of $100 will apply.

3.2 Changes to Services & Materials.

We may modify our Services, Service Descriptions, and Materials from time to time. Please refer to the Site for our most current offerings. Indian Palm Leaf Reading ® Institute may also send an email notice of the change to its affected Customers.

3.3 Additional Services.

Any additional services related to the Services that are requested by you and that Indian Palm Leaf Reading ® Institute in its sole discretion provides (“Additional Services”) are deemed to be Services provided pursuant to this User Agreement, and they will be provided at Indian Palm Leaf Reading ® Institute then-current rates.

3.4 Support.

FAQs. Indian Palm Leaf Reading ® Institute maintains a list of frequently asked questions and technical support articles relating to the Services on the Site. We do not represent or warrant that our frequently asked questions and technical support articles will be accurate, reliable, or regularly updated at any given time. You agree to use discretion when using these Materials and assume all responsibility for any intended or unintended consequences from the same.

Assistance. Indian Palm Leaf Reading ® Institute will use commercially reasonable efforts to resolve each problem reported to Indian Palm Leaf Reading ® Institute within a reasonable time. When you report a problem to Indian Palm Leaf Reading ® Institute’s help desk, you will provide: (i) any assistance reasonably necessary to allow Indian Palm Leaf Reading ® Institute to verify and resolve that problem; and (ii) all information that you are reasonably able to provide with respect to any problem. Response times may vary, and we provide no guarantees or warranties for any resolution of your problems.

4. ORDER
To access certain features of the Properties, you may need to create an account. Please read the following carefully.

  • In order to make purchases through the Website, the Client will be requested to register and provide personal details. In particular, Clients must provide their real name, phone number, email address, date of birth and any other requested information as indicated.
  • When placing an order, you as the Client will be required to provide payment details and you represent and warrant that the payment details you provide on ordering are both valid and correct and you confirm that you are the person referred to in the billing information provided.
  • When an order is made online, the order confirmation issued by the company clearing the credit/debit card payment does not constitute acceptance of your order by us. We reserve the right to check any discrepancies and an order will only be processed when it is verified by us to be accurate and within the guidelines set forth in this User Agreement.
  • All orders are subject to acceptance and availability. We reserve the right not to accept the Client’s order in the event, for example:
    • we are unable to obtain authorization for payment; or
    • we are unable to process more orders due to limited resources; or
    • the order placed is incomplete or inaccurate due to technical or any other reasons beyond our control.

In such cases an order placed by Client will not be accepted and the Contract between Client and Service Provider will not be formed.

  • Unless the Client cancels the order in accordance with our Cancellation policy, acceptance of the order and completion of the Contract between Client and Service Provider will be perfected when we send an email to you confirming acceptance of your order.

We reserve the right to suspend or terminate your account at any time, for any or no reason, without liability to you.

5. Price and Payment

5.1 Price. By purchasing services through the Properties, you agree to pay all applicable prices. Prices for our Services and Materials are in U.S. Dollars (USD). All prices and offers remain valid and as advertised from time to time. The prices of our Services and Materials (inclusive of any applicable shipping fees, sales taxes, and processing fees) displayed on the Website at the time the order is accepted will be honored. Prices are subject to change without notice.

5.2 Fees. The fees and/or rates applicable to any Services and Materials are set out in the online order form for the Service (the “Fees”). All Fees are non-negotiable and includes and reflects any and all savings, special offers, or discounts at the time of purchase. No further savings, discounts, or special offers will be applied after enrollment. PLEASE NOTE THAT THE ONLINE ORDER FORM MAY ALSO SET OUT A RATE INCREASE THAT WILL BECOME EFFECTIVE UPON THE EXPIRATION OF A PROMOTIONAL RATE. SUCH AN INCREASE WILL HAPPEN WITHOUT FURTHER NOTICE TO YOU. Otherwise, Indian Palm Leaf Reading ® Institute will give you at least 7 days prior written notice of any increase to the Fees.

We are not liable for any payments that are not completed because: (1) your credit card account does not contain sufficient funds to complete the transactions or the transactions would exceed the credit limit or overdraft protection of the credit card account; (2) you have not provided us with correct payment account information; (3) your credit card has expired; or (4) of circumstances beyond our control (such as but not limited to, power outages, interruptions of cellular service, overzealous fraud protection rules applied by your payment card brand or acquirer bank, or any other interface from an outside force).

Any payment of Fees is exclusive of any taxes or duties imposed by your jurisdiction’s tax law. We will not be responsible for any taxes or duties owed by you.

5.3 Promotions. From time to time, Indian Palm Leaf Reading ® Institute may offer its Services and Materials to new or existing clients at discounted or promotional rates. You acknowledge that any such promotion is only applicable to our Services and Materials if the promotion or discount is clearly set out as applicable on the online order form used that you used to make the purchase.

5.4 Expenses. Unless expressly set out otherwise in an applicable Service Description, you will reimburse Indian Palm Leaf Reading ® Institute for all fees or other related expenses incurred by Indian Palm Leaf Reading ® Institute in relation to any third-party service described in the applicable Service Description.

5.5 Payment of Fees. Indian Palm Leaf Reading ® Institute accepts payment by credit or debit card. Available payment types may vary from region to region. All credit card transactions on the Website are processed using a secure online payment platform that encrypts your card and/or banking details in a secure host environment.

5.6 Advance. Payment for Services and Materials is in advance. When you order our Services and Materials, you are required to pay the full amount of Fees for the initial term and applicable taxes, unless otherwise provided by Indian Palm Leaf Reading ® Institute in the applicable online order form. If your order of any Services and Materials are subject to renewal, you are required to pay the full amount of Fees for the renewal term. Any order of the Services and Materials subject to renewal will automatically renew when it has not been terminated by you or us prior to the last date of the initial term or any renewal term for which you have paid. When Indian Palm Leaf Reading ® Institute is entitled in accordance with this User Agreement to any Fees and expenses, such amounts will be automatically charged to the payment method that Indian Palm Leaf Reading ® Institute has on file for you and you authorize Indian Palm Leaf Reading ® Institute to do this. Indian Palm Leaf Reading ® Institute will send an invoice and/or receipt for these amounts to the email address that it has on file for you.

5.7 Additional Services. All additional services are subject to the terms and conditions of this User Agreement, and we reserve the right at our sole discretion to impose additional terms and conditions for these Services.

5.8 Failure to Pay & Chargebacks.
If you fail to make a timely payment of the Fees subject to renewal, you may be charged additional fees, which are subject to change. We reserve the right to suspend or terminate any Services, withhold access to our Materials, and accelerate any outstanding payments at our sole discretion until all unpaid amounts are cured. We reserve the right to refer you to a collections agency if payment is not received within sixty (60) days of being due, and you may be subject to costs and charges imposed by any such collection agency. Indian Palm Leaf Reading ® Institute, in its sole discretion, will determine whether you have violated this paragraph and you agree that Indian Palm Leaf Reading ® Institute’s determination is final and inclusive.

Please note that should any amount that you pay by your designated payment method be charged back to Indian Palm Leaf Reading ® Institute, you will incur an additional Fee of $100.

If the payment is not received by the due date Indian Palm Leaf Reading ® Institute may restrict, suspend or terminate the affected Services and Materials Further, Indian Palm Leaf Reading ® Institute shall be entitled to recover its collection costs, including legal fees and expenses.

6. Notice

Any notice or other significant communication given to you pursuant to the User Agreement will be in writing, addressed to any email address or address that you provided to Indian Palm Leaf Reading ® Institute we have on file for you and sent to you by email or by nationally recognized overnight courier as applicable. Any notice or other significant communication given to Indian Palm Leaf Reading ® Institute pursuant to the User Agreement will be in writing and sent to Indian Palm Leaf Reading ® Institute at the address then listed on the Site in the Contact Us section by nationally recognized courier. Notices will be deemed to have been received one business day following: (i) email transmission by Indian Palm Leaf Reading ® Institute Inc. to you; (ii) deposit with a globally recognized overnight delivery service, all delivery charges prepaid.

7. Cancellation and Refund Policy

All sales are FINAL and NON-REFUNDABLE at the time of purchase; we do not allow your cancellation of our Services subject to any exceptions in this section.

8. Intellectual Property Rights

8.1 Limited License. You acknowledge and agree that the content on our Website and our Services or resources relating to the content on our Website and our Materials are our sole and exclusive intellectual property. You will have a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access to the content on our Website, our Services, and our Materials.

You agree not to reproduce, copy, duplicate, distribute, lend, sell, or otherwise transfer or disclose to any other individual or party, the content on our Website, the use of our Services, and our Materials, without our express prior written consent. In the event that you are licensed or otherwise authorized to use the content on our Website, our Services, and our Materials, you agree to name us as your source of information and cite our Website, Services, and Materials.

8.2 Intellectual Property Assignment. You hereby assign all rights, title, and interest and give us a perpetual, irrevocable, worldwide, royalty-free, exclusive license to any intellectual property you may directly or indirectly create in using our Website, Services, and Materials, which include the use of your name and likeness in connection with using our Website and Materials. You shall cooperate with us in obtaining execution of all necessary paperwork to perfect our title in such intellectual property including, but not limited to, intellectual property assignment and transfer contracts, documentation for registration and recordation with the United States Copyright Office, the United States Patent and Trademark Office, the World Intellectual Property Organization and any other government or non-government entity throughout the world, and/or any other formalities that may be required by applicable national and international laws and treaties. Notwithstanding the foregoing, any intellectual property assignments anticipated under this section may exclude the creation and use of any intellectual property permitted under the limited license described herein. Company and Client may deem works prepared by Company for Client’s permitted commercial use, or any additional services that have been specially ordered or commissioned for which the parties have agreed in writing as a Work Made for Hire. In such circumstances, Client may be considered the author and owner of the copyright and Company shall cooperate with Client in obtaining execution of all necessary paperwork to perfect Client’s title in such intellectual property including, but not limited to, intellectual property assignment and transfer contracts, documentation for registration and recordation with the United States Copyright Office, the United States Patent and Trademark Office, the World Intellectual Property Organization and any other government or non-government entity throughout the world, and/or any other formalities that may be required by applicable national and international laws and treaties.

8.3 Intellectual Property Enforcement. Our Website, Services, and Materials are protected by applicable copyright, trademark law and/or any other form of intellectual property law. We reserve the right to pursue all legal and equitable remedies for any unauthorized reproduction, copying, duplication, distribution, lending, selling, or otherwise transfer or disclosure of our Services and Materials to enforce our intellectual property rights.

9. Copyright Infringement

If you believe that any of our Website content violates your copyright, please see our Copyright Policy for instructions on sending us a notice of copyright infringement. It is the policy of the Company to terminate the user accounts of repeat infringers.

9.1 Copyright Policy. We ask your cooperation in protecting the intellectual property of others. If you believe that your work has been copied in a way that constitutes copyright infringement, please send an email to info@indianpalmleafreading.com or written documents to the address of the Designated Agent below that include the following information:

  1. a signature of a person authorized to act on behalf of the owner of the copyright interest that is allegedly infringed
  2. a description of the copyrighted work that you claim has been infringed
  3. a description of where the material that you claim is infringing is located on the site
  4. your address, telephone number, and email address
  5. a statement by you that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law
  6. a statement by you made under penalty of perjury that the above information in your Notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf. Under the appropriate circumstances, it is our policy to remove and/or to disable access from our site to webpages of infringers, to terminate subscribers and account holders who infringe, and to remove and/or to disable access from us to webpages as to which there have been steps taken for the purpose of affecting our search results such as adding inappropriate “meta-tags.”

10. Privacy and Data Protection

By using the Properties, you consent to the collection and use of your data as described in our Privacy Policy, which is incorporated into these Terms by reference. We are committed to complying with all applicable privacy laws, including the California Consumer Privacy Act (CCPA) and the General Data Protection Regulation (GDPR) for EU users.

For Illinois residents, we comply with the Biometric Information Privacy Act (BIPA), which governs the collection, use, and retention of biometric data (including thumbprints and fingerprints). We will not collect or disclose biometric data without your informed written consent.

11. Security Obligations

We use commercially reasonable measures to protect the security of your personal information, including encryption and secure storage. However, no system is entirely secure, and we cannot guarantee the complete security of your data. You agree that Palm Leaf Reading Institute is not responsible for unauthorized access to or disclosure of your personal information unless caused by our gross negligence or willful misconduct.

12. Limitation of Warranties.

By using this Website, you understand and agree that all Services and Materials we provide are “as is” and “as available”. This means that we do not represent or warrant to you that:

  • the use of our Services and Materials will meet your needs or requirements.
  • the use of our Services and Materials will be uninterrupted, timely, secure or free from errors.
  • the information obtained by using our Materials will be accurate or reliable, and
  • any defects in the operation or functionality of our Services and Materials will be repaired or corrected.

Furthermore, you understand and agree that:

  • any content downloaded or otherwise obtained through the use of our Materials is done at your own discretion and risk,
  • and that you are solely responsible for any damage to your computer or other devices for any loss of data that may result from the download of such content.
  • no information or advice, whether expressed, implied, oral or written, obtained by you from info@indianpalmleafreading.com or through any Materials we provide shall create any warranty, guarantee, or conditions of any kind, except for those expressly outlined in this User Agreement.
  • TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW AND TO THE EXTENT NOT COVERED UNDER THE APPLICABLE WARRANTY, INDIAN PALM LEAF READING INSTITUTE EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, WHETHER RELATED TO USE OF THIS WEBSITE OR INDIAN PALM LEAF READING INSTITUTE SERVICES OR MATERIALS, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM INDIAN PALM LEAF READING INSTITUTE OR THROUGH ANY INDIAN PALM LEAF READING INSTITUTE SERVICE OR MATERIALS WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN.
    INDIAN PALM LEAF READING INSTITUTE DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE SERVICE OR ANY HYPERLINKED WEBSITE OR SERVICE, AND INDIAN PALM LEAF READING INSTITUTE WILL NOT BE A PARTY TO OR IN ANY WAY MONITOR ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES.

13. Indemnification

You agree to indemnify, defend, and hold harmless Indian Palm Leaf Reading ® Institute and its parent company, subsidiaries, agents, licensors, managers, and other affiliated companies, and their employees, contractors, agents, officers and directors, from and against any and all claims, liabilities, damages, losses, obligations, costs or debt, expenses (including reasonable attorney’s fees), regulatory penalties and enforcement actions arising out of or in connection with: (i) your use of and access to any products or services, or this Website, including any data or content transmitted or received by you; (ii) your violation of any term of this User Agreement; (iii) your violation of any third-party right, including without limitation any right of privacy or intellectual property rights; (iv) your violation of any applicable law, rule or regulation; (v) any content that is submitted via your account including without limitation misleading, false, or inaccurate information; (vi) your willful misconduct; or (vii) any other party’s access and use of the Website with your unique username, password or other appropriate security code.

14. Limitation of Liability

IN CONJUNCTION WITH THE LIMITATION OF WARRANTIES AS EXPLAINED ABOVE, YOU EXPRESSLY UNDERSTAND AND AGREE THAT ANY CLAIM AGAINST US SHALL BE LIMITED TO THE AMOUNT YOU PAID, IF ANY, FOR USE OF SERVICES AND/OR MATERIALS. INDIAN PALM LEAF READING INSTITUTE WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR EXEMPLARY LOSS OR DAMAGES WHICH MAY BE INCURRED BY YOU AS A RESULT OF USING OUR SERVICES AND MATERIALS, OR AS A RESULT OF ANY CHANGES, DATA LOSS OR CORRUPTION, CANCELLATION, LOSS OF ACCESS, OR DOWNTIME TO THE FULL EXTENT THAT APPLICABLE LIMITATION OF LIABILITY LAWS APPLY.

15. Governing Law and Arbitration

These Terms will be governed by and construed in accordance with the laws of the State of California, excluding that body of law relating to conflict of laws. As each country has laws that may differ from those of California, United States of America, by accessing our Website, you agree that the statutes and laws of State of California without regard to the conflict of laws, will apply to all matters relating to the use of this Site and the purchase of any Service and Materials through this Site.

Furthermore, any action to enforce this User Agreement shall be brought in the federal or state courts located in California. You hereby agree to personal jurisdiction by such courts, and waive any jurisdictional, venue, or inconvenient forum objections to such courts.

In the event of any dispute with Indian Palm Leaf Reading ® Institute, you agree to first contact us via email at Indian Palm Leaf Reading ® Institute and attempt to resolve the dispute with us informally. In the unlikely event that Indian Palm Leaf Reading ® Institute has not been able to resolve a dispute it has with you after ninety (90) days, we each agree to resolve any claim, dispute, or controversy (excluding any claims for injunctive or other equitable relief) arising out of or in connection with this User Agreement, shall be conducted in accordance with the rules of JAMS or a similar organization, under the Federal Arbitration Act (FAA), in Los Angeles, California and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction. Each party shall pay its own costs and fees associated with attorneys, the expenses of its witnesses and all other expenses associated with presenting its case; however, you and Indian Palm Leaf Reading ® Institute agree that, except as may be prohibited by law, the arbitrator may in his or her discretion, award reasonable attorney’s fees to the prevailing party.

Nothing in this section shall be deemed as preventing Indian Palm Leaf Reading ® Institute from seeking injunctive or other equitable relief from the courts as necessary to prevent the actual or threatened infringement, misappropriation, or violation of our data security, intellectual property rights or other proprietary rights.

16. Data Breach Response

In the event of a data breach involving your personal information, we will comply with all relevant legal obligations, including providing notifications under GDPR (Art. 33), CCPA, and BIPA. We will notify affected users and regulatory authorities within the timeframes required by law and take immediate steps to mitigate the breach’s impact.

17. Suspension and Termination

17.1 Suspension If you breach this User Agreement, Indian Palm Leaf Reading ® Institute may, in its sole discretion, restrict or suspend the Services and Materials, without prior notice to you and without an opportunity to cure the breach and any Contract with you will terminate in accordance with this User Agreement effective immediately. Notwithstanding the foregoing, Indian Palm Leaf Reading ® Institute may, at its sole discretion, provide you an opportunity to cure the breach. If you are given an opportunity to and you cure the breach to Indian Palm Leaf Reading ® Institute’s satisfaction, we will lift the restriction or suspension. PLEASE NOTE THAT FEES WILL BE CHARGED DURING THE PERIOD OF ANY SUSPENSION OR RESTRICTION OF SERVICES AND MATERIALS UNTIL TERMINATION OF THE CONTRACT.

17.2 Termination By You. You may terminate any Service at any time by sending us an email. Any order for the Services and Materials subject to renewal which has not been terminated by you or us prior to the last date of the initial term or any renewal term for which you have paid will not be refunded in accordance with Section 5.6 of this Agreement. YOU ACKNOWLEDGE AND AGREE THAT THE TERMS SET FORTH IN THIS SECTION ARE YOUR SOLE AND EXCLUSIVE REMEDY FOR YOUR TERMINATION OF THIS AGREEMENT.

17.3 Termination By Us. Indian Palm Leaf Reading ® may terminate this Agreement immediately and without prior notice to you:

  • if you breach section 5 (PRICE AND PAYMENT);
  • if you breach section 11 (RESPONSIBLE USE AND CONDUCT); or
  • if you breach section 15 (INTELLECTUAL PROPERTY); or
  • if you breach section 16 (COPYRIGHT); or
  • if you breach any other section of this User Agreement

You may terminate your account at any time by following the instructions on our Website. We reserve the right to terminate or suspend your access to the Properties for any reason, including violation of these Terms.

Upon termination, your rights to use the Properties will immediately cease. Termination does not relieve you of any obligations under these Terms that are intended to survive, including but not limited to indemnification, intellectual property rights, and limitations of liability.

18. Amendment

18.1 Indian Palm Leaf Reading ® reserves the right, in its sole discretion, to change or modify the User Agreement from time to time and at any time, with or without notice to you. When Indian Palm Leaf Reading ® changes the User Agreement, Indian Palm Leaf Reading ® will post the updated version of the User Agreement on the Site together with the date on which it was revised.

18.2 Indian Palm Leaf Reading ® may, but is not obliged to, ask you to actively confirm your consent to the revised User Agreement. If Indian Palm Leaf Reading ® does not do so, but you continue to use the Services, Materials, or Site after the changes come into effect, you will be deemed to have agreed to abide by the revised User Agreement.

18.3 Indian Palm Leaf Reading ® reserves the right, in its sole discretion, to change or modify the Site from time to time.

19. Opt-In Opt-Out Policy

20. Independent Contractor

Company shall perform the services as an independent contractor. Nothing in this Agreement shall be deemed to place the parties in the relationship of employer-employee, principal-agent, partners, or joint venturers.

21. Miscellaneous

Force Majeure: Indian Palm Leaf Reading ® Institute is not liable for any failure to perform due to causes beyond our reasonable control, including but not limited to acts of God, war, pandemics, or government actions.

Entire Agreement: This User Agreement and the Privacy Policy constitutes the entire and exclusive understanding and agreement between Indian Palm Leaf Reading ® Institute and you.

Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms at any time without notice.
